1. Introduction
These terms and conditions should be read in conjunction with TVA’s Privacy Policy, please refer to http://www.tvpanel.co.uk/privacy-policy/ (the “Terms”) which together sets out an agreement between TVA Group Limited (“TVA”, “we” or “us”) and you the person responding to the survey (“you” or “your”).
2. Participation
Your participation to the survey is entirely voluntary. If you proceed, you will be deemed to have accepted the Terms and you will be invited to respond to a short on-screen survey which will be delivered to your TV via your broadband. Additionally, you may also be invited to participate in further research but you do not have to respond to any of these.
We may collect and process information provided as part of your response. Additionally, we will share your responses with market research agencies who are carrying out research. Those agencies may contact you about taking part in further research, although you do not have to participate. Your contact details will be deleted by the relevant agency or agencies at the end of a project. No agency will contact you for any other purpose.
We may also process information including your broadband IP address, geographical location and other metadata (“Consent data”) to deliver other services to you, including to personalise features and content and make suggestions for you (such as tailored promotions or programmes that you may be of interest).
3. Terms
Please refer to our website http://www.tvpanel.co.uk for full terms and conditions. If you do not agree with the Terms, please do not continue to respond to the survey. We reserve the right to change these Terms at any time we will revise the “Last Updated on” and any such changes will come into effect on that date.
4. Eligibility and Conflict of Interest
The survey is open to individuals who are aged at least eighteen (18) years of age (not corporations or other business entities). If you have a conflict of interest, please do not respond to the survey.
5. Disclaimer of Warranties
TVA is not responsible for the actions of any third party. Except as otherwise expressly provided in these terms, TVA disclaims all warranties, conditions and duties, express, implied or statutory, including but not limited to any implied warranties, duties or conditions. TVA further disclaims all duties to you, if any such duties exist, including but not limited to reasonable care, freedom from computer virus, and lack of negligence.
6. Limitation of Liability
With the exception of personal injury or death resulting from negligence or any liability for fraud, TVA shall not under any circumstances be liable to you for any damages of any kind including loss of income or profit, any consequential or similar general damages, or for damages for lost profits, loss or impairment of privacy, security or data, failure to meet any duty (including but not limited to any duty of good faith, or of lack of negligence), or for any other similar damages whatsoever that arise out of or are related to any breach or other aspect of the entire agreement.
Some jurisdictions do not allow the disclaimer of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above disclaimers and limitations may not apply to you. In such jurisdictions, the exclusions and liability are limited to the fullest extent permitted by law.
7. Links to Third Party Websites
TVA may provide links to third-party websites as a convenience to you, and TVA providing any link does not constitute an endorsement by such site or vice versa. If you use these links, you agree that TVA is not responsible for examining or evaluating the content or accuracy and TVA does not warrant and will not have any liability or responsibility for any third-party materials or Websites, or for any other materials, products, or services of third parties. You will use these links at your own risk.
8. Governing Law and Exclusive Forum
These Terms shall be governed by the laws of England and Wales without regard to its conflict of law provisions. Any disputes arising under or related in any way to these Terms shall be heard exclusively in the appropriate forum in the English courts. You hereby consent to exclusive jurisdiction of the English courts and waive any Claim or defence that such forum is not convenient or proper, and consent to service of process by any means authorized by the laws of England and Wales.
9. Entire Agreement
The Terms, including items incorporated into them, constitute the entire agreement between us and neither party has relied on any representations made by the other that are not expressly set forth in the Terms. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the remaining provisions will remain in full force and effect, provided that the allocation of risks described herein is given effect to the fullest extent possible.
